Please remember that all corporations are required by law (Commerce Code) Article 155, to hold an annual ORDINARY Assembly meeting. The purpose of the meeting is for shareholders to discuss all general matters pertaining to the corporation. This includes profit sharing and financial reports whether they are commercially active or not. The minutes of the meeting (s) must be recorded in the legal books of the corporation as part of the requirement. Such a meeting must be held within the first three months after the close of the fiscal year which is September 30th of every year.
